EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR AutoPlay Express SOFTWARE PRODUCT

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal AGREEMENT between you (either an individual person or a single legal entity, who will be referred to in this EULA as "You") and Sergey Shevchenko, an individual entrepreneur, d/b/a/ KL Soft for the AutoPlay Express software product identified above, which includes computer software and may include associated media, printed materials, "online" or electronic documentation, and Internet-based services ("Software"). READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE SOFTWARE. IT PROVIDES A LICENSE TO USE THE SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE PRODUCT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT.

1. Copyright
All copyrights to the Software are exclusively owned by the author - Sergey Shevchenko.

2. Software Licenses
There are 2 basic types of licenses issued for the Software: Personal License and Site License.
(a) Personal License assumes that a single user can use one registered copy of the Software on one machine. Personal license for the Software allows creation of any number of autorun / autoplay shells for personal use. Creation of autorun / autoplay shells intended for commercial purposes is prohibited under personal license. Public distribution of autorun / autoplay shells created using the Software in any form is prohibited under personal license.

(b) Site License assumes that any number of users representing the organization purchasing this type of license can use registered copies of the Software on any number of machines within the organization. Site license for the Software allows creation of any number of autorun / autoplay shells for both private and public use as well as creation and public distribution of commercial products that include autorun / autoplay shells created using the Software.

3. License Grants
(a) You may install and use the Software for any legal purpose on as many computers as defined by the licensing terms in section 2 according to the number of licenses purchased.

(b) You may freely distribute unregistered trial version of the Software, providing the distribution package not modified in any way.

(c) Your license rights under this EULA are non-exclusive.

4. License Restrictions
(a) Other than as set forth in section 3, you may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network.

(b) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software.

(c) Unless otherwise provided herein, you may not rent, lease, or sublicense the Software.

(d) Other than with respect to a trial version of the Software, you may permanently transfer all of your rights under this EULA only as part of a sale or transfer, provided you retain no copies, you transfer all of the Software (including all component parts, the media and printed materials, any upgrades, this EULA, and the serial numbers), and the recipient agrees to the terms of this EULA. If the Software is an upgrade, any transfer must include all prior versions of the Software from which you are upgrading. You may retain no copies of the Software.

(e) Unless otherwise provided herein, you may not modify the Software or create derivative works based upon the Software.

5. Refunds Policy
It is supposed that you will thoroughly evaluate the Software usefulness and functionality during 30-day trial period before making a purchase. This "try before you buy" approach is the ultimate guarantee that the Software will satisfy your needs. Therefore you understand and agree that there is no refunds available for any purchase of the Software.

6. Upgrades
If this copy of the Software is an upgrade from an earlier version of the Software, it is provided to you on a license exchange basis. You agree by your installation and use of such copy of the Software to voluntarily terminate your earlier EULA and that you will not continue to use the earlier version of the Software or transfer it to another person or entity unless such transfer is pursuant to section 4.

7. Ownership
The foregoing license gives you limited license to use the Software. Sergey Shevchenko retain all right, title and interest, including all copyright and intellectual property rights, in and to, the Software (as an independent work and as an underlying work serving as a basis for any application you may develop), and all copies thereof.

8. Termination
Without prejudice to any other rights, Sergey Shevchenko may cancel this EULA if you do not abide by the terms and conditions of this EULA, in which case you must destroy all copies of the Software and all of its component parts.

9. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. AUTHOR IS NOT OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL SUPPORT FOR THE SOFTWARE. IN NO EVENT AUTHOR WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR FOR ANY LOST PROFITS, LOST SAVINGS, LOST REVENUES OR LOST DATA ARISING FROM OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF AUTHOR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
